Terms of Service

These Terms of Service (“Terms”) govern your use of tokenly.us and the Tokenly API (the “Service”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Tokenly provides metered access to third-party AI models through an OpenAI- and Anthropic-compatible API and a web Chat. Access is paid for with Tokenly credits, which you can receive as a welcome grant, purchase (where available), or earn by completing optional surveys and offers from third-party providers.

Earning through surveys and offers is optional and is provided by third parties. When you participate, you also agree to those providers’ terms and privacy policies. Rewards depend on the provider confirming your completion, and may be delayed or reversed by the provider. We credit your account based on the signed confirmations we receive.

Requests you submit are processed by third-party AI providers, and earning is provided by third-party survey networks. Your use of those features is also subject to the applicable provider’s terms. We are not responsible for third-party services, their availability, or their content.

7. Availability and changes

The Service is provided on an ongoing basis but may change, be interrupted, or be discontinued. We may add, modify, or remove models and features. We may update these Terms; continued use after changes take effect constitutes acceptance.

8. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate access for violation of these Terms, suspected fraud or abuse, or as required by law. Upon termination, unused credits are forfeited except where prohibited by law.

9. Disclaimers

The Service and all AI outputs are provided “as is” and “as available,” without warranties of any kind. AI outputs may be inaccurate or unsuitable for your purposes; you are responsible for how you use them. To the fullest extent permitted by law, we disclaim all implied warranties.

10. Limitation of liability

To the fullest extent permitted by law, Tokenly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost credits. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or US $50.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where your local mandatory consumer laws apply.
